Argo nominates two for election to its board

Argo Group International Holdings has nominated Bernard Bailey and Fred Donner to stand for election to its board of directors at the annual shareholder meeting on April 16, 2020.

The nominees were jointly agreed with shareholder Voce Capital Management as part of a cooperation agreement between the groups.

Bailey is the president of Paraquis Solutions, a private consulting company focused on corporate governance and strategy. He has spent more than three decades in finance and corporate governance, including serving as CEO of Authentix, a private-equity-backed global enterprise, where he continues to serve as chairman of the board. He also serves on a number of other company boards.

Donner is a senior finance executive with over 30 years of experience leading and advising corporations through restructurings, international expansion, risk management and capital market transactions. He currently serves as a senior managing director in the global insurance practice of FTI Consulting.

In 2017 he retired from Travelers Insurance where he was executive vice president of enterprise risk management and chief financial officer for the business insurance and international insurance segments. He also served as executive vice president and chief financial officer at ReinassanceRe.

Argo appointed Carol McFate to its board this month, which was also agreed in conjunction with Voce.

Thomas Bradley, Argo Group’s board chairman-elect, said: “Through ongoing consultation with Voce, as well as other shareholders, we are making meaningful progress in our efforts to refresh, enhance and strengthen Argo’s board of directors.”

Daniel Plants, founder and chief investment officer of Voce, thanked Argo’s board, particularly Bradley and CEO Kevin Rehnberg, for “their open and constructive approach throughout this process.”

Bailey and Donner are “excellent director candidates,” Plants added.
